XGL Terms of Service
These Terms of Service apply to Expedition Growth Lab (“XGL,” “we,” “us,” or “our”) and all consulting, system design, revenue infrastructure, CRM, automation, branding, lead-flow, Expo, and related services provided by XGL unless superseded by a separate written agreement signed by XGL.
1. Scope of Services
XGL provides strategic consulting, systems planning, revenue-system installation, CRM architecture, lead intake workflows, automation guidance, branding consultation, implementation support, and related business services. Exact deliverables, timelines, fees, and assumptions must be confirmed in a written proposal, checkout description, invoice, statement of work, or engagement summary.
2. No Guaranteed Results
XGL does not guarantee revenue increases, lead volume, sales conversions, profitability, event performance, search rankings, advertising results, customer behavior, or any specific financial outcome. Client results depend on client execution, market conditions, pricing, offer quality, internal operations, follow-through, sales discipline, team adoption, and other variables outside XGL’s control.
3. Client Responsibilities
Client agrees to provide timely information, access, decisions, approvals, credentials, brand assets, process details, and feedback reasonably necessary for XGL to perform the work. Delays caused by missing information, slow approvals, unavailable staff, incomplete access, or changing priorities may extend timelines and do not waive payment obligations.
4. Payments, Deposits & Non-Refundability
Unless stated otherwise in writing, deposits, setup fees, Expo specials, Founders Build payments, implementation fees, and paid-in-full payments are earned upon scheduling, onboarding, resource allocation, strategy development, or commencement of work and are non-refundable except where expressly required by law or expressly stated in a written XGL agreement.
5. Scope Control & Excessive Build Protection
XGL’s quoted packages include reasonable work within the described package scope. Requests involving unusually large catalogs, extensive legacy data cleanup, complex integrations, multi-brand architecture, custom software, unusually large CRM migrations, high-volume automation logic, multiple locations, enterprise-level permissions, custom API work, paid ad management, or other unusually large requirements may require additional fees, revised scope, adjusted timeline, or separate agreement.
6. Third-Party Platforms
XGL may recommend or configure third-party tools such as CRMs, form tools, email platforms, automation platforms, payment processors, AI tools, design tools, or hosting providers. XGL is not responsible for third-party outages, pricing changes, account suspensions, platform limitations, data loss, API changes, deliverability problems, security incidents, or changes to external software.
7. AI, Automation & Technical Limitations
AI-assisted and automated workflows may require testing, tuning, supervision, and ongoing monitoring. Client remains responsible for reviewing outputs, maintaining appropriate human oversight, complying with applicable laws, and confirming that automations are appropriate for customer-facing use.
8. Limitation of Liability
To the maximum extent permitted by law, XGL’s total liability for any claim related to services, programs, pricing, promotions, technical work, errors, omissions, delays, or deliverables shall not exceed the amount actually paid by the client to XGL for the specific service giving rise to the claim. XGL shall not be liable for indirect, incidental, consequential, special, punitive, lost-profit, lost-revenue, lost-data, business interruption, or reputational damages.
9. Indemnification
Client agrees to indemnify and hold XGL harmless from claims, losses, liabilities, damages, costs, and expenses arising from client-provided content, client products or services, client legal compliance, customer claims, advertising claims, misuse of deliverables, unauthorized platform access, breach of these terms, or client’s operation of its business.
10. Termination
XGL may pause or terminate work for nonpayment, abusive conduct, unreasonable delays, lack of cooperation, unlawful requests, platform violations, or scope changes that materially alter the engagement. Termination does not waive amounts already earned or owed.
11. Governing Law & Disputes
Unless otherwise agreed in writing, these terms are governed by the laws of the State of Oregon. The parties agree to attempt good-faith resolution before initiating formal proceedings. XGL may update these terms at any time for future services and programs.
Founders Build Series Rules & Limitations
The Founders Build Series is a limited launch-phase XGL program for selected businesses in overland, fabrication, custom coach, off-road, installer, creator, specialty manufacturing, and rugged B2B markets.
- Participation is subject to XGL approval and availability.
- Founders Build pricing is limited, promotional, and may be withdrawn or modified at any time before purchase.
- Participation may require discovery calls, implementation cooperation, feedback, reasonable access to business workflow information, and participation in showcase or case-study development.
- XGL may decline or remove participants whose project scope is misrepresented, excessive, unlawful, abusive, outside XGL’s capability, or materially different from the purchased package.
- Showcase placement, collaborative exposure, and promotional opportunities are not guaranteed and remain subject to XGL editorial discretion.
- Client confidential information will not be intentionally disclosed without permission, but non-sensitive project descriptions, industry category, general implementation themes, and approved visuals may be used for XGL promotional purposes if allowed by the participant agreement.
Expo Pricing Terms, Rules & Limitations
Expo pricing is promotional pricing for qualified, limited-scope revenue-system builds purchased during the applicable Expo campaign period or approved follow-up window.
Regular Package Values
- Basic Build regular value: $5,295. Expo Special: $3,995.
- Full-Stack Build regular value: $10,495. Expo Special: $8,495.
Limitations
- Expo pricing applies only to the package scope described at purchase and does not automatically include add-on services, subscription services, paid advertising, ongoing management, large-scale data migration, custom software, enterprise integrations, multi-location deployments, or excessive build requirements.
- XGL reserves the right to classify a project as outside standard Expo scope and provide a revised quote before work begins.
- Expo pricing cannot be combined with other discounts, credits, referral payments, partnership benefits, or promotional offers unless approved in writing by XGL.
- Expo pricing is not transferable and may not be resold, assigned, banked indefinitely, or applied retroactively to prior purchases.
- XGL may limit the number of Expo-priced builds accepted based on operational capacity.
Full Founders Credit / “Free Build” Rules
Any reference to a “free build,” “full Founders Credit,” refund, or equivalent XGL/partner credit is governed by these rules unless a separate written promotion agreement says otherwise.
- Eligible participants must be new XGL clients who purchase and pay in full for at least the Basic Build package.
- Minimum qualifying purchase: Basic Build or higher. Add-on services, subscription services, technical support, lead generation retainers, ongoing management, paid media, third-party platform costs, taxes, processing fees, partner services, and pass-through expenses do not qualify as the minimum purchase and are excluded from any refund or credit unless XGL states otherwise in writing.
- One participating customer may be selected to receive a refund or equivalent XGL/partner credit up to the amount paid for the qualifying Basic Build or Full-Stack Build package, subject to XGL’s stated rules and discretion.
- Selection is not based on chance unless XGL expressly publishes separate sweepstakes rules. XGL may base selection on strategic fit, participation quality, implementation cooperation, showcase value, brand alignment, operational readiness, and other business criteria.
- Participant must complete onboarding, cooperate with reasonable implementation requirements, remain in good standing, avoid chargebacks or nonpayment, and comply with program terms to remain eligible.
- XGL may substitute partner credit, future service credit, partial refund, or equivalent value at its discretion where appropriate.
- No cash alternative, assignment, transfer, resale, or substitution is available unless approved by XGL in writing.
- XGL’s liability related to the Founders Credit, free build offer, or related promotion is limited to the amount actually paid by the selected participant for the qualifying package.
XGL One Rising Sun Corporate Partnership Program Terms
The XGL One Rising Sun corporate partnership program is built on the philosophy that one rising sun lights the trail for all of us. It is intended for aligned companies, suppliers, creators, service providers, vendors, and industry partners that can help rugged businesses modernize, scale, and move with greater clarity.
1. Participation & Acceptance
Submitting a partnership inquiry, discussing partnership ideas, or appearing in preliminary conversations does not create a partnership, exclusivity, sponsorship, endorsement, referral relationship, or right to use XGL intellectual property. All partnerships require written approval by XGL and may require a separate written agreement.
2. Brand Alignment & Conduct
Partners must act professionally, avoid misleading claims, protect customer trust, comply with applicable laws, and avoid conduct that could harm XGL, XGL clients, or the broader rugged business ecosystem. XGL may refuse, pause, or terminate partner participation at its discretion.
3. Referral, Co-Marketing & Compensation Rules
Referral fees, revenue share, discounts, sponsorship benefits, co-marketing value, credits, preferred placement, or other compensation apply only when expressly agreed in writing. No payment, credit, commission, or benefit is owed unless authorized by XGL in writing before the relevant activity occurs.
4. Brand & Content Usage
Partners may not use XGL names, logos, marks, program names, website copy, visuals, screenshots, frameworks, or client materials without written approval. Approved use may be revoked at any time.
5. Confidentiality & Client Protection
Partners may receive access to non-public XGL information, partner strategy, client categories, implementation context, or referral details. Such information must be treated as confidential and may not be used to bypass XGL, solicit XGL clients, reverse engineer XGL systems, or compete unfairly with XGL.
6. No Guarantees & Limitation of Liability
XGL does not guarantee referral volume, lead volume, client adoption, revenue, exposure, event performance, placement, or any specific business outcome. To the maximum extent permitted by law, XGL is not liable for indirect, consequential, reputational, lost-profit, or business interruption damages related to partnership participation.
Intellectual Property, Brand & Content Protection
All XGL names, marks, slogans, frameworks, layouts, copy, visuals, systems, diagrams, methods, graphics, brand assets, website content, brochure content, program names, and related creative or strategic materials are owned by XGL unless otherwise stated. This includes, without limitation, Expedition Growth Lab, XGL, Growth Terrain Build™, Founders Build Series, Navigate the Terrain of Growth, Systems · Strategy · Scale, and related trade dress and visual systems.
Clients receive a limited right to use final, client-specific deliverables for their own internal business operations and approved customer-facing use. XGL retains ownership of reusable frameworks, methods, templates, know-how, strategic models, non-client-specific systems, and pre-existing materials.
No person may copy, reproduce, sell, distribute, scrape, modify, misrepresent, or create derivative works from XGL materials without written permission.
